Securities Information

The Company’s shares are traded on AIM, a market operated by the London Stock Exchange under the ticker symbol DDD. The Company’s shares are not traded on any other Exchange.

The Company’s share capital includes two classes of securities: ordinary shares (par value of 1p) traded on AIM, and deferred shares (par value of 9p) with restricted rights created as a result of the 2008 share capital restructure more fully described in Note 22 to the 2011 Annual Report consolidated group financial statements. There are no specific restrictions on the transfer of ordinary shares in the Company other than certain restrictions imposed by laws, regulations and Listing Rules. The voting rights of the Ordinary Shares allow a member holding the share or their nominee to cast 1 vote per share at the Company’s general meetings. There are no persons holding securities in the Company carrying special rights with regard to control of the Company. The Company is not aware of any agreement between holders of securities that may result in restrictions on the transfer of securities or on voting rights.
